Vision
The Institute focuses on the best practice of corporate governance by directors and business leaders.
 
Our vision is to be the leading professional organisation for directors and business leaders driving effective corporate governance and best practices.
 
Mission  

Our mission is to professionalise the status of directors and to enhance their accountability by providing orientation, research, training and accreditation, advisory services, advocacy, networking and sharing of international best practices.

It is now widely recognised that just as a well functioning board is key to the performance of an enterprise, good corporate governance is key to the effective functioning of the board.

A sound corporate governance framework ensures that boards effectively monitor managerial performance, use resources judiciously, attract capital, and achieve adequate rate of returns; while at the same time raising the confidence of stakeholders in the integrity of the organisation.

A good corporate governance system also minimises the risk of systemic failure, of poor performance, of misuse of power and acts as a barrier to fraud and corruption.

Objects of the Institute
 
As the premier director organisation in the country, the Institute undertakes to raise the level of professionalism of its members by responding, at all times, to their needs in terms of training, sharing of knowledge, advice, communication and networking (locally, regionally and internationally).

In addition, it aspires to improve corporate governance practices, and to promote the ethical conduct of business and public affairs, to enhance productivity and efficiency in companies for the benefit of all stakeholders.

The objects of the Institute as laid down in its revised Constitution (to be approved at the AGM in August 2010) are reproduced below :-

 to promote the highest standards and best practices of corporate governance;

 
 
[2]

through training and development, to promote excellence, ethics and integrity amongst directors and prospective directors of all organisations and to improve their skills and knowledge on such matters as their rights, duties and responsibilities and of global best practices in corporate governance;

 
 
[3]

to promote the highest standards of business and ethical conduct of directors serving on the boards of companies and state-owned enterprises, including para-statal bodies;

   
[4]

to co-operate with the Financial Reporting Council of Mauritius, the National Committee on Corporate Governance and with other institutions and organisations having objects similar to those of the Mauritius Institute of Directors in order to fulfil its objects;

 
 
[5]

to assess the needs of directors in Mauritius, and to improve their skills and knowledge by organising conferences, seminars, workshops, training courses and such other events for its Members;

   
[6]

to hold examinations and issue certificates to its Members;

   
[7]

to promote the study, research and development of the practice of corporate governance, and to publish, disseminate or otherwise make available the results of such study or research;

   
[8]

to represent the interests of its members and the business community in all public fora;

   
[9]

 to provide facilities and services of all kinds to any interested person including its Members, and to organise conferences, seminars and other events;

   
10)

 to hold and supervise examinations and to award, revoke and/or replace certificates, diplomas, or prizes, either alone or jointly with other bodies;

   
11)

to publish, in any manner or medium, material of interest for its Members or of relevance to any aspect of its objects and activities;

   
12)

to affiliate with any other non profit making organisation or other body, and to co-operate with other bodies or organisations or to engage in joint activities of any kind which may advance the objects of the Company;and

   
13)

generally, to do all such other things as are conducive or incidental to the attainment of the above objects.
